Terms of Service

1. The service

VP Arbiter ("the Service") is an AI-assisted contract review tool operated by VantagePoint Networks ("we", "us"), a business based in London, England. The Service accepts contract text or PDF documents and returns a plain-English risk report identifying potentially problematic clauses with severity ratings.

2. Not legal advice

The Service does not provide legal advice. Reports are generated by artificial intelligence as a first-pass screening aid. They must not be relied on as a substitute for advice from a qualified solicitor, particularly for high-value, high-risk, or business-critical contracts. We accept no liability for decisions made on the basis of a report.

You agree to use the Service for informational purposes only and to seek qualified legal counsel before signing any contract of material consequence.

3. Free tier

One complimentary contract analysis is available per IP address every 30 days. No account is required. We reserve the right to adjust the free-tier limit, withdraw it, or block abusive traffic at our sole discretion.

4. Paid subscriptions

  • Personal subscription — £9 per month, unlimited analyses, billed monthly via Stripe.
  • Firm subscription — £39 per month, up to 10 team members under one subscription, billed monthly via Stripe.
  • Self-hosted / Enterprise — quoted on application; one-off licence with optional support agreement.
  • All prices are in GBP and inclusive of VAT where applicable.
  • Subscriptions auto-renew at the end of each billing period until cancelled.

5. Cancellation and refunds

You may cancel your subscription at any time from the account dashboard. On cancellation, access continues until the end of the current paid period. We do not provide pro-rata refunds for unused time within an active billing period.

UK consumers retain statutory rights under the Consumer Contracts Regulations. To exercise a right to cancel within 14 days of purchase, contact info@vpnetworks.co.uk.

6. Acceptable use

You agree not to:

  • submit content you do not have the right to disclose;
  • upload malicious, illegal, or harmful content;
  • attempt to circumvent the rate limit or share paid access outside an authorised Firm subscription;
  • scrape, reverse-engineer, or resell the Service;
  • use the Service to generate advice for onward provision to third parties as legal advice.

7. Intellectual property

You retain all rights to the contract text you submit. We claim no ownership of your input. The structure, prompts, branding, and output formatting of the Service remain our intellectual property. You receive a limited, non-exclusive licence to use generated reports for your own internal purposes.

8. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be excluded under English law (including death, personal injury caused by negligence, or fraud).

9. Service availability

We aim for high availability but do not guarantee uninterrupted access. Maintenance, AI provider outages, and force-majeure events may temporarily affect the Service. Subscriptions are not extended for short transient outages.

10. Changes to these terms

We may update these terms from time to time. Material changes will be notified via the Service or by email to active subscribers at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

11. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
